Terms of Service

These Terms of Service ("Terms") govern your access to and use of Previso (the "Services"), an AI-powered strategic analysis product provided by Persistive, LLC ("Previso", "we", "us", or "our"). By creating an account, accessing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
1. Acceptance of Terms
You must be at least 18 years old to use the Services. The Services are offered only to customers located in the United States. We may refuse signup, free reports, paid reports, and checkout from other locations. Recipients of a share link may view a report they were sent regardless of location.
By using the Services you acknowledge that you have read these Terms, including the binding arbitration and class-action waiver in Section 19. You may opt out of arbitration as described there.
2. Description of Services
Previso generates outside-in strategic analysis from a public company website URL and related public sources, using automated collection and AI systems. Depending on what you purchase or are granted, the Services may include:
- A free preliminary snapshot (executive summary, company profile, scorecard, competitive read, and SWOT), limited to one per account, with locked remaining sections.
- A full strategy brief (the "full report"), typically sold as a one-time $199 purchase or by spending a report credit, including PDF, sharing, and War Room.
- Unlocking an existing snapshot into a full report by spending a credit or completing checkout.
- War Room, an evidence-grounded Q&A panel on a full report, subject to the question limits in Section 9.
- Strategic Monitor, a subscription that includes Strategy Watch (recurring re-checks of tracked assumptions), permission to run one additional full report each paid billing month (any eligible company URL, or a snapshot unlock), and subscriber add-on reports at the then-current add-on price.
- Optional organization branding on newly generated PDFs.
- Share links for full reports, as described in Section 10.
Posted prices and feature lists on the site control over this summary. We may change, add, or withdraw features. Some features require a paid plan or an active subscription. Credits, Monitor, and add-ons are described in Section 11.
Reports, War Room answers, and Strategy Watch verdicts are AI-generated opinions based on public information plus any optional context you type in. They are not diligence memoranda and not professional advice.
3. Accounts, Customer Data, and acceptable use
You are responsible for your account credentials and for activity under the account. Notify us promptly at support@previso.app if you believe the account is compromised.
You agree you will not:
- Use the Services if you are under 18.
- Probe, scrape, reverse engineer, or resell the Services as a competing analysis product, or use outputs to train a competing model.
- Bypass rate limits, credit rules, or the one-snapshot-per-account limit, including by creating extra accounts.
- Submit credentials, paywalled content, or non-public systems for us to access. Extra URLs must be publicly reachable without a login.
- Upload another party's confidential information unless you have the right to do so.
- Use the Services for unlawful purposes, to harass, or to generate content you will present as a human-authored professional opinion without the AI disclosures the Services include.
- Publish a snapshot or report as news, as a diligence memorandum, or as a statement by or on behalf of the analyzed company.
- Interfere with other customers' use of the Services.
Optional context you type (revenue, headcount, client concentration, extra URLs, War Room questions, and similar fields) is Customer Data. You grant Previso a limited license to host, process, transmit to our processors, and use Customer Data solely to generate and store your snapshot or report, to run War Room, and, while Monitor is active, to run Strategy Watch on that report. We will not use Customer Data to train foundation models. We will not sell Customer Data. We will not disclose Customer Data except to processors who need it to provide the Services, to people you share a report with, or as required by law. We will not combine Customer Data with other customers' Customer Data to build a profile of the people or companies you name, except as needed to operate, secure, and bill the Services.
Persistive is the business (and, where that term applies, the controller) of account, billing, usage, security, and product-operation data. When you submit a public website URL, you instruct us to collect and analyze publicly available information about that company, including publicly listed names and titles. We perform that research as an independent service to you. We are not the processor, service provider, or subcontractor of the analyzed company, and that company is not a party to these Terms.
These Terms and the Privacy Policy are the data terms that apply. A data processing addendum, GDPR Article 28 terms, standard contractual clauses, or a separate CPRA service-provider addendum is not in effect unless Persistive and you execute a written addendum. Creating an account, paying, or submitting a URL does not create one. If you need that document for your own compliance program, email legal@previso.app.
We may suspend or terminate accounts that violate these Terms, create risk, or fail to pay. If you are a company or person identified in a report and you believe it is inaccurate or unlawful, email legal@previso.app. We may remove the report, disable sharing, or add a notice. We are not obligated to adjudicate business disputes.
4. Target companies and public-data collection
When you submit a URL, you instruct us to collect publicly available pages and search results about that company and, where those pages name people, their publicly listed names and titles. This applies to every snapshot, full report, unlock, and Strategy Watch check.
You represent and warrant that:
- You have a lawful purpose for requesting the analysis. Lawful purposes include analyzing a business you own or advise, evaluating a potential investment or acquisition, or researching a competitor from public information.
- You have authority to submit that URL and any Customer Data.
- If the company is a client, prospect, employer, or acquisition target, you have a lawful basis as to that company and any people who may be named in the report.
- You will not submit government identifiers, health or financial-account data, information about children, non-public employee files, or another party's confidential documents.
- You will not use outputs as the sole basis for an employment, credit, housing, insurance, or similarly significant decision about a named person.
You are responsible for complying with laws and with the target site's own terms to the extent they apply to your request.
We do not log into the target's private systems. We may refuse, delay, or remove a report (including free reports of household-name consumer platforms, government, or military sites) at our discretion. Competitive research is limited to public information. You will not use the Services to obtain non-public access.
5. AI-generated content
Because the Services use generative AI and public internet sources, outputs may be incorrect, incomplete, biased, outdated, or otherwise flawed. They are opinions and hypotheses to verify, not statements of fact. You are solely responsible for independently verifying accuracy before you rely on any output.
Free snapshots. Each account may receive one free report, subject to eligibility (including that you are in the United States), capacity, and these Terms. Snapshots are private to your account by default and are provided without warranty. Snapshot sharing is not currently offered. We may decline or remove a snapshot at our discretion.
War Room answers and Strategy Watch verdicts are also AI-generated from stored or newly collected public evidence. If the evidence is thin, the product may say so. That is not a guarantee that every gap will be flagged.
6. Not professional advice
Previso does not provide strategic consulting, business, legal, compliance, investment, financial, tax, or other professional advice. Inclusion of a company, or any score or recommended path, is not an endorsement or a representation on that company's behalf. Do not use a report as the sole basis for a transaction, filing, or client deliverable without your own verification and, where appropriate, qualified advisors.
7. No authority over analyzed companies
Previso has no affiliation with, endorsement from, or special access to companies analyzed in reports. Competitive positioning, market-share estimates, and similar assessments are algorithmic conclusions from public data, not verified facts.
8. Data sources and methodology
Reports use public sources believed to be useful, including the pages we fetch, search results, optional context you provide, and (where configured) public performance measurements of the target site. We disclaim warranties as to the accuracy or completeness of those sources. Outputs reflect conditions around the time of generation or the relevant Strategy Watch check and may not reflect later events.
9. War Room and Strategy Watch
War Roomlets you ask questions about a full report. Answers are grounded in that report's stored research where possible and may cite sources. They can still be wrong. Free snapshots show a locked preview only. We may limit questions per report and per day to operate the service. Clearing the conversation does not reset the per-report allotment. Strategic Monitor lifts the per-report allotment while the subscription is active.
Strategy Watch is included with Strategic Monitor. While Monitor is active, we may automatically re-visit public sources about tracked assumptions on a recurring schedule and store statuses, quotes, and citations with the report. A quiet period means we did not surface a material change in the sources we checked. It is not a warranty that nothing changed. You may pause Watch on a given report. Cancelling Monitor stops new checks; existing history remains with the report until the report or account is deleted.
An on-demand re-check purchase, if offered, is tied to a specific report. It is not an extra generation credit.
10. Sharing, confidentiality, and branding
You control whether and how a report is shared. You are responsible for recipients and for any consequences of sharing.
- Snapshot sharing is not currently offered. Snapshots stay on the generating account.
- Full reports may be shared via a link, optionally with a password and expiration. Anyone with the link (and password, if set) can read the brief until you revoke it or it expires. A password-gated link is still distribution you are responsible for.
- When you email a share link, you instruct us to process the recipient's email address to send that message.
If you share a report, you are the one disclosing any personal information in it, including names and titles of people at the analyzed company, to that recipient. Persistive hosts the file at your instruction. A password on the link does not change that.
Organization branding (your name or firm on a newly generated PDF) does not make Previso your subcontractor, does not convert the brief into your professional opinion, and does not authorize removal of Previso's AI and verification disclaimers. Those disclaimers must remain. You remain responsible to anyone you deliver the brief to.
11. Fees, credits, and subscriptions
Fees are as posted at checkout. Payment is processed by Stripe. You authorize us and Stripe to charge the payment method you provide.
- A report credit authorizes one full-report generation or one snapshot unlock, with PDF included. Recheck purchases are not generation credits. They apply only to the designated report as a one-time Watch pass, not as ongoing Monitor.
- Credits are not cash, have no residual value on refund except as Section 12 or law requires, and may be promotional. Generation credits do not expire unless we state an expiry when they are granted.
- Strategic Monitor is $299 for the first month, then $199 per month until you cancel, unless checkout shows different posted amounts. You authorize recurring monthly charges after the first month. Cancel at any time in Settings through the customer portal. Cancellation stops future monthly charges. The first-month amount and unused subscription time are not refunded unless law requires it. Each paid Monitor billing month grants permission to run one additional full report (any eligible company) or unlock a snapshot. That permission is not limited to the company you already ran. Cancelling stops new Strategy Watch checks and new monthly grants. Credits already granted remain until spent. Credits are not cash and are not refunded if you cancel.
- Subscriber add-on reports are available only while Monitor is active, at the posted add-on price.
- Regenerating an existing report is not a new credit debit unless we say so when you regenerate.
- Prices may change for future purchases. We will not change the price of a completed one-time purchase.
- You are responsible for applicable taxes.
If a Monitor payment fails, we may suspend Watch, new credits, and add-on eligibility until payment is restored. If a paid generation never delivers a usable report, we will restore the debit; contact support@previso.app if that does not happen automatically.
12. Launch satisfaction path
Eligible one-time purchases of a full Strategic Report (including a snapshot unlocked by that purchase) include a limited 30-day satisfaction path. It does not apply to Strategic Monitor, unused subscription time, subscriber add-ons, promotional credits, or re-check purchases.
If a technical failure prevents delivery, or the paid report is materially unusable as a deliverable (for example it never completes or the file is empty or corrupt), email support@previso.app within thirty (30) days of purchase. At our discretion we may retry the job, revise using additional context you provide, issue a replacement credit, or refund the purchase.
Disagreement with scores, strategy, or tone is not "materially unusable." This path does not convert outputs into professional advice. You remain responsible for verifying content. Start with the free report when you want to judge quality before you buy.
13. User responsibilities
You agree that:
- (a) you will independently verify outputs before relying on them;
- (b) you will not represent report content as verified fact to third parties;
- (c) you are solely responsible for distribution and use of reports you generate or share;
- (d) you will not use the Services for unlawful purposes; and
- (e) content you share will not infringe a third party's intellectual property rights.
14. Intellectual property
Subject to these Terms, Previso grants you a limited, non-exclusive, non-transferable, revocable license to access the Services for your internal business purposes. Feedback you send us may be used without restriction or attribution.
The legal status of generative-AI output is uncertain and may not be protectable. Previso makes no warranty about IP status of reports. Subject to these limitations, as between you and Previso, you retain ownership of reports generated through your account. You grant Previso a license to host, render, store, and display those files to you and to recipients you authorize. Previso and its licensors retain all rights in the Services, software, and design. Reports may quote publicly available third-party material; those third parties retain their rights. Copyright complaints: legal@previso.app.
15. Warranty disclaimer
THE SERVICES AND ALL OUTPUTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PERSISTIVE, LLCAND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES (COLLECTIVELY, THE "PREVISO PARTIES") DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, FREEDOM FROM ERRORS, BIAS, OR OMISSIONS, ACCURACY OR COMPLETENESS, AND THAT OUTPUTS WILL BE UNIQUE OR WILL NOT INFRINGE THIRD-PARTY RIGHTS. THE PREVISO PARTIES MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY REPORT, WAR ROOM ANSWER, STRATEGY WATCH VERDICT, OR OTHER CONTENT.
16. Limitation of liability
IN NO EVENT SHALL THE PREVISO PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, WHETHER ARISING FROM CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL AGGREGATE LIABILITY OF THE PREVISO PARTIES ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO PREVISO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). NOTHING IN THIS SECTION LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING (WHERE SUCH A WAIVER IS FORBIDDEN) LIABILITY FOR FRAUD OR WILLFUL MISCONDUCT.
17. Indemnification
You agree to indemnify, defend, and hold harmless the Previso Parties from claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to:
- (a) your use of the Services or outputs, including decisions made in reliance on them;
- (b) your distribution of reports;
- (c) any third-party claim arising from your use or sharing of reports, including claims by a company you analyzed or a person named in a report;
- (d) your violation of these Terms;
- (e) your violation of applicable law; or
- (f) your submission of a URL or Customer Data without authority, or any claim that Persistive was required to execute a data processing addendum with you before providing the Services.
18. Term, termination, and preview
These Terms apply from your first access until your account is closed. You may stop using the Services at any time and may request account deletion as described in the Privacy Policy. We may suspend or terminate access for violation, non-payment, or risk to the Services or others.
On termination, your right to use the Services ends. We may disable share links. Report files and Watch history are handled under the Privacy Policy. Credits have no cash value on termination except where Section 12 or law requires a refund.
Some deployments of the Services may be offered as a private preview. Preview features may change, break, or be withdrawn. Preview availability does not expand Section 12.
19. Dispute resolution and arbitration
Before starting a formal dispute, email legal@previso.app with a brief description of the issue and the relief sought. If we do not resolve it within 30 days, either party may proceed as below.
Either party may bring an individual action in small-claims court in the county of your billing address or in St. Louis County, Missouri, if the claim qualifies.
Except for that small-claims path and for temporary injunctive relief to protect intellectual property or unauthorized access, any dispute arising out of these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under the Federal Arbitration Act. If you are purchasing as an individual or a small business, the AAA Consumer Arbitration Rules apply; otherwise the AAA Commercial Arbitration Rules apply. Class actions, class arbitrations, and representative actions are not permitted. YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.
You may opt out of arbitration by sending written notice to legal@previso.app or to the postal address in Section 23 within thirty (30) days of creating your account. The notice must include your name, the email on the account, and a clear statement that you opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts sitting in St. Louis, Missouri, except for the small-claims path above. Both parties still waive class actions.
For individual claims where the amount in controversy is less than $10,000, Previso will pay AAA filing and administration fees, unless the arbitrator finds the claim frivolous.
20. Governing law
These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles.
21. Changes to Terms
We may update these Terms from time to time. We will update the "Last Updated" date and, for material changes, notify you by email or by posting a notice on the Services. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Services. If a change materially expands Section 19, you may opt out of the amended Section 19 using the same method and a fresh 30-day window.
22. Miscellaneous
If a provision is unenforceable, it will be modified to the minimum extent needed to make it enforceable, or severed, and the rest remains in effect. These Terms and the Privacy Policy are the entire agreement between you and us about the Services. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays caused by events beyond our reasonable control. You will not use the Services in violation of export-control or sanctions laws. The Services are commercial items; U.S. government users receive only the rights in these Terms. There are no third-party beneficiaries except the Previso Parties for Sections 15 through 17. Sections 3, 5 through 17, and 19 through 23 survive termination.
